Terms of Use

Scope

These Terms of Use govern your access to and use of the www.fast-track.io marketing website and related marketing pages (collectively, the "Site"). They apply to website visitors who interact with us through the Site.

These Terms of Use do not govern:

  • FastTrack Platform subscriptions (including dashboard at [tenant].fast-track.io, storefront, and API) — governed by the Platform Services Agreement and applicable Order between Stack and the business customer.
  • FastTrack client software (Merchant App and FastTrack Agent) — governed by the End User License Agreement between Stack and the end-user (typically the business customer's employee or authorized operator).
  • Processing of personal data on behalf of business customers — governed by our Data Processing Agreement.

If you are using the FastTrack Platform under a business subscription, your organization's agreement with Stack prevails over these Terms of Use to the extent of any conflict.

Agreement

These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Stack ehf., doing business as FastTrack ("FastTrack", "we", "us", or "our"), concerning your access to and use of the Site.

We are registered in Iceland and have our registered office at Laugavegur 178, 105 Reykjavík, Iceland. Our company registration number is 641019-1270.

By accessing the Site, you confirm that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree, you must not use the Site.

Supplemental terms posted on the Site from time to time are incorporated by reference. We may update these Terms of Use by changing the "Last updated" date. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

The information on the Site is not intended for distribution in any jurisdiction where such distribution would be contrary to law. If you access the Site from outside Iceland, you do so on your own initiative and are responsible for compliance with local laws.

Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright, trademark, and other intellectual property laws.

The Content and Marks are provided on the Site "AS IS" for your information and personal use only. Except as expressly provided in these Terms of Use, no part of the Site and no Content or Marks may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission.

Provided you are eligible to use the Site, you are granted a limited, non-exclusive, non-transferable license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use. We reserve all rights not expressly granted.

User Representations

By using the Site, you represent and warrant that:

  1. All registration information you submit is true, accurate, current, and complete.
  2. You will maintain the accuracy of such information and promptly update it as necessary.
  3. You have the legal capacity to agree to these Terms of Use.
  4. You are not a minor in the jurisdiction in which you reside.
  5. You will not access the Site through automated or non-human means (bots, scripts, etc.) except as permitted by standard search engine or browser use.
  6. You will not use the Site for any illegal or unauthorized purpose.
  7. Your use of the Site will not violate any applicable law or regulation.

If you provide untrue, inaccurate, not current, or incomplete information, we may suspend or terminate your account and refuse current or future use of the Site.

User Registration

You may be required to register to use certain features of the Site. You agree to keep your password confidential and are responsible for all use of your account. We may remove or change a username if we determine it is inappropriate, obscene, or otherwise objectionable.

Contact and Inquiries

The Site provides information about FastTrack products and services. If you wish to subscribe to the FastTrack Platform, sign up online or contact us — subscription terms are governed by the Platform Services Agreement, not these Terms of Use.

Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:

  1. Systematically retrieve data or content from the Site to create a collection, compilation, database, or directory without written permission.
  2. Trick, defraud, or mislead us or other users, especially to obtain sensitive account information such as passwords.
  3. Circumvent, disable, or interfere with security-related features of the Site.
  4. Use information from the Site to harass, abuse, or harm another person.
  5. Make improper use of our support services or submit false reports of abuse or misconduct.
  6. Use the Site in a manner inconsistent with applicable laws or regulations.
  7. Engage in unauthorized framing of or linking to the Site.
  8. Upload or transmit viruses, Trojan horses, or other harmful material that interferes with the Site.
  9. Engage in automated use of the system (scrapers, robots, data mining tools) except as permitted by standard search engine or browser use.
  10. Delete copyright or other proprietary rights notices from Content.
  11. Impersonate another user or person.
  12. Interfere with or disrupt the Site or connected networks.
  13. Harass, intimidate, or threaten our employees or agents.
  14. Attempt to bypass measures designed to restrict access to the Site.
  15. Decipher, decompile, disassemble, or reverse engineer any Site software except as permitted by applicable law.
  16. Use the Site to compete with us or for unauthorized commercial purposes.

Any violation may result in termination or suspension of your access to the Site.

Submissions

If you send us questions, comments, suggestions, ideas, feedback, or other information regarding the Site ("Submissions"), you agree that such Submissions are non-confidential and that we may use them without restriction or compensation to you, subject to our Privacy Policy.

Third-Party Websites and Content

The Site may contain links to third-party websites or content. We do not investigate, monitor, or endorse third-party websites or content. If you leave the Site and access third-party websites, you do so at your own risk and should review their terms and privacy policies. We are not responsible for purchases or interactions with third parties.

Privacy Policy

We care about data privacy and security. Please review our Privacy Policy, which is incorporated into these Terms of Use.

Data location. The Site is hosted in the European Union (AWS eu-west-1, Ireland). Personal data collected through the Site is processed within the EEA. Where we use sub-processors outside the EEA, we implement appropriate safeguards, including Standard Contractual Clauses, as described in our Privacy Policy and Data Processing Agreement.

Copyright Infringement

We respect intellectual property rights. If you believe material on the Site infringes your copyright, please notify us in writing at:

Your notice should include: (1) identification of the copyrighted work; (2) identification of the infringing material and its location; (3) your contact information; (4) a statement of good faith belief that use is not authorized; and (5) a statement, under penalty of perjury where applicable, that the information is accurate and you are authorized to act on behalf of the copyright owner.

Term and Termination

These Terms of Use remain in effect while you use the Site. We may deny access to the Site, terminate your account, or remove content at any time, with or without notice, for any reason including breach of these Terms or applicable law.

If we terminate or suspend your account, you may not register a new account under your name, a fake name, or a third party's name without our permission.

Modifications and Interruptions

We may change, modify, or discontinue the Site at any time without notice. We do not guarantee the Site will be available at all times. We are not liable for any loss or inconvenience caused by inability to access the Site during downtime or discontinuance.

Governing Law

These Terms of Use are governed by the laws of Iceland, excluding its conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods.

If your habitual residence is in the EU and you are a consumer, you benefit from mandatory provisions of the law of your country of residence. You may bring proceedings in Iceland or in the EU country in which you reside.

Business customers. If you use the FastTrack Platform under a Platform Services Agreement or Master Services Agreement, disputes relating to that subscription are governed by that agreement (including binding arbitration), not this section.

For website-only use, Stack ehf. and you agree to the non-exclusive jurisdiction of the courts of Reykjavík, Iceland.

Disclaimer

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF SITE CONTENT OR LINKED WEBSITES. YOUR USE OF THE SITE IS AT YOUR SOLE RISK.

Limitations of Liability

Scope. This section applies only to your use of the Site and does not limit liability under the Master Services Agreement, Data Processing Agreement, or End User License Agreement where those agreements govern.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY TO YOU FOR ANY CAUSE ARISING FROM YOUR USE OF THE SITE, REGARDLESS OF THE FORM OF ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR SITE-RELATED SERVICES DURING THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

Certain laws do not allow limitations on implied warranties or exclusion of certain damages. If those laws apply to you, some of the above may not apply.

Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of: (1) your use of the Site; (2) breach of these Terms of Use; (3) breach of your representations and warranties; (4) violation of third-party rights, including intellectual property rights; or (5) any harmful act toward another Site user. We may assume exclusive defense and control of any matter subject to indemnification at your expense.

User Data

We maintain certain data you transmit to the Site to manage Site performance and your use of the Site. Although we perform routine backups, you are solely responsible for data you transmit. We have no liability for loss or corruption of such data.

Electronic Communications

Visiting the Site, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications from us and agree that agreements, notices, and other communications provided electronically satisfy any legal requirement that such communication be in writing.

Miscellaneous

These Terms of Use and policies posted on the Site constitute the entire agreement between you and us regarding the Site. Our failure to enforce any provision is not a waiver. If any provision is unlawful or unenforceable, it is severable and does not affect remaining provisions. There is no joint venture, partnership, employment, or agency relationship created by these Terms or use of the Site.

We may assign our rights and obligations at any time. We are not liable for delay or failure caused by events beyond our reasonable control.
